By accessing www.IndyVyve.com (the "Site"), you agree to these Terms and Conditions ("Terms"). IndyVyve operates strictly as a non-clinical technology platform and independent software intermediary. Access is denied to anyone who disagrees with these Terms.
2. Non-Clinical Firewall & Medical Disclaimers
IndyVyve is not a healthcare provider, medical group, pharmacy, or insurer. We do not provide medical advice, diagnosis, treatment, or prescription drugs, nor do we manufacture, compound, or dispense medications. All clinical evaluations, medical decisions, lab tests, and prescriptions are provided exclusively by independent third-party networks (including National Telehealth Providers, Leg Up Recovery, and LegUpRx). IndyVyve has zero visibility into, ownership of, or technical access to your clinical records, medical histories, or prescriptions.
3. Routine Care Routing & Emergency Notice
Platform routing is restricted to routine, non-emergency conditions based on independent network availability. Independent providers do not prescribe controlled substances. This Site is not for emergencies. If experiencing a medical or mental health emergency, call 911 or the 988 Crisis Lifeline immediately.
4. Administrative Fees & Cancellation Policy
Recurring monthly payments represent a platform access fee for administrative software connections, not a fee for medical services or medication fulfillment. To stop automated payment processing, cancellation requests must be submitted online through the platform patient portal at least 48 hours prior to the next scheduled billing date. IndyVyve receives administrative compensation solely for software routing and technology services, and is completely insulated from the clinical outcomes, availability, or quality of third-party healthcare services.
5. FDA, Pharmacy & Trademark Disclosures
By using this platform, you acknowledge:

• Compounding: Any compounded medications prescribed are prepared independently by state-licensed pharmacies. They are not identical to commercial drugs.
• FDA Status: Compounded drugs are not FDA-approved, and the FDA does not evaluate them for safety, effectiveness, or manufacturing quality.
• Off-Label Usage: Independent providers may prescribe medications for "off-label" uses based entirely on their independent clinical judgment.
• Trademarks: Ozempic®, Wegovy®, Mounjaro®, and Zepbound® are registered trademarks of Novo Nordisk A/S and Eli Lilly and Company. They are not compounded. IndyVyve is completely independent of, and unaffiliated with, these manufacturers.

6. User Restrictions & Data Integrity
You agree to use the Site strictly for lawful, non-clinical purposes. Transmitting Protected Health Information (PHI) to IndyVyve’s public marketing channels is strictly prohibited. All clinical data must be entered exclusively into the secure, HIPAA-compliant patient portals operated by the independent healthcare networks.
7. Intellectual Property & AI Imagery
All text, code, graphics, and logos are the property of IndyVyve. Images of healthcare settings, providers, or patients are illustrative placeholders using models or AI-generated synthetic imagery; they do not depict real providers or patient cases.
8. Disclaimer of Warranties
THE SITE AND SOFTWARE INFRASTRUCTURE ARE PROVIDED "AS IS." INDYVYVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. INDYVYVE DOES NOT WARRANT THAT PLATFORM ROUTING WILL RESULT IN A PRESCRIPTION, THAT SPECIFIC MEDICATIONS WILL BE AVAILABLE, OR THAT ADMINISTRATIVE SHIPPING ESTIMATES WILL BE MET.
9. Limitation of Liability & Indemnification
TO THE FULLEST EXTENT PERMITTED BY LAW, INDYVYVE SHALL NOT BE LIABLE FOR ANY DAMAGES OR CLAIMS RESULTING FROM MEDICAL MALPRACTICE, ADVERSE DRUG REACTIONS, OR NEGLIGENCE BY INDEPENDENT THIRD-PARTY PROVIDERS OR PHARMACIES. You agree to indemnify and hold harmless IndyVyve from any claims or liabilities arising out of your violation of these Terms.
10. Mandatory Arbitration & Class-Action Waiver
ALL DISPUTES ARISING UNDER THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING INDIVIDUAL ARBITRATION. YOU EXPLICITLY WAIVE THE RIGHT TO PARTICIPATE IN CLASS-ACTION LITIGATION OR JURY TRIALS.
11. Governing Law & Modifications
These Terms are governed by the laws of the State of Alabama, without regard to conflict of law principles. Any administrative arbitration actions must be initiated in Alabama. IndyVyve reserves the right to modify these Terms at any time; continued platform use after modifications are posted constitutes absolute acceptance of the revised contract.
